The agreement between your business and ours. Written to be read, not to be survived.

Who you are agreeing with.

These terms are between your business and Hubify Solutions Inc., a company incorporated in British Columbia, Canada, which provides Ash. Using Ash means agreeing to them. If you are accepting on behalf of a business, you are confirming that you are authorised to bind it.

What Ash does.

Ash answers your business's phone calls and messages, replies to what it can, books appointments into the calendar you connect, and records what happened against a client record in the CRM you connect. What it is able to do depends on which accounts you connect and how it is configured during onboarding.

Ash is an assistant, not an employee and not a professional adviser. It does not give legal, medical, financial or other regulated advice on your behalf, and you should not configure it to.

Getting set up.

Ash is set up with you rather than through a signup form. Onboarding involves connecting a phone number, a calendar, an email account and a CRM, and configuring how your business answers people. We will tell you before we begin whether we think Ash is a good fit.

What you are responsible for.

These are the obligations that matter most, and they sit with you because you are the party with the relationship to your clients.

You are responsible for the accuracy of what you tell Ash to say, for the accounts you connect and the permissions you grant, and for keeping your own credentials secure.

Telling callers about recording
Calls Ash answers are recorded. You are responsible for ensuring your callers are informed and that recording is lawful where you and they are located. If you are unsure, take advice before going live.
Lawful use
You must not use Ash to contact people who have not consented to hear from you, or in any way that breaches privacy, anti-spam or telecommunications law — including Canada's anti-spam legislation.
Your clients' information
The personal information Ash handles for you remains yours to account for. You decide what is collected and how long it lives in your CRM.
Reviewing what Ash sends
Ash holds anything that would commit you until you approve it. Approving it is your decision and your responsibility.
Connecting WhatsApp
Connecting a WhatsApp Business number imports up to six months of past conversations and your contact list, and copies messages you send from your own phone to Ash from then on. Deciding to import that is yours, and so is satisfying yourself that it is lawful and consistent with what you have told the people in it. The Privacy Policy sets out exactly what is taken.

WhatsApp.

Where you connect a WhatsApp Business number, messages travel through the WhatsApp Business Platform operated by Meta Platforms, Inc. Your use of it is subject to Meta's own terms and policies as well as these. Meta may restrict, suspend or disconnect a number under policies we do not control and cannot appeal on your behalf, and we are not liable for its doing so.

WhatsApp lets a business send freely only within twenty-four hours of the last message from the person it is writing to. Outside that window a message must use a template Meta approved in advance. That is Meta's rule rather than ours, and it means some replies cannot be sent at the moment you would like to send them.

You may disconnect WhatsApp at any time. Doing so stops the part of Ash that depends on it, and what was imported is deleted on the schedule set out in the Privacy Policy.

What Ash decides, and what it does not.

Ash answers, gathers and records on its own. Anything that would commit you — a price, a term, a promise — is held until you approve it, and nothing is sent or written until you do.

There is one deliberate exception. Ash books appointments without asking you first, but only into times you have declared bookable that are free on your live calendar, re-checked at the moment of confirmation. If you do not want that, it can be turned off during onboarding.

We do not warrant that Ash will always interpret a conversation correctly. It is a language model working from what a caller says, and callers are not always clear. Reviewing what it has done is part of using it, which is what the daily summary and the owner app are for.

Connected accounts.

Ash works through accounts you own — your phone number, your Google account, your CRM. You can disconnect any of them at any time, and doing so will stop the part of Ash that depends on it. We use those connections only to provide the service.

Those providers have their own terms, and we are not responsible for their availability or their decisions about your account.

Fees.

There are two ways this happens. Where you choose a plan in your account, the price is the one shown at checkout and the subscription is charged monthly in advance from that point — before setup is finished, because the plan is what starts it. Where we set Ash up with you directly, fees are agreed before it is running. Either way billing is handled by our payment provider; card details are entered with them and never reach us.

Each plan includes a monthly allowance of credits, which is what Ash spends as it answers, drafts and books. The allowance belongs to the month it is granted for: it does not roll over, and whatever is unused ends with that period. Fees are exclusive of applicable taxes. If a payment fails and is not resolved, we may suspend the service after telling you.

Availability.

We work to keep Ash running continuously, and it answers a phone line, so we take that seriously. We do not offer a guaranteed uptime commitment, and we depend on third-party providers whose outages we cannot control.

We will give notice of planned maintenance where it is likely to affect you.

Your data.

The information Ash handles for your business belongs to your business. We claim no ownership of it and we do not use the content of your calls, messages or client records to train machine learning models.

Because Ash writes into your own CRM and your own calendar, most of what it produces is already in systems you control. If you leave, that material stays with you. Call recordings are deleted on the schedule set out in the Privacy Policy regardless of whether your account is open.

Acceptable use.

Do not use Ash to harass, defraud or impersonate anyone, to send unsolicited bulk messages, to break the law, or to attempt to interfere with the service or gain access to another customer's data. We may suspend an account immediately where use of it is unlawful or is putting the service or another customer at risk.

You must also not use Ash, or anything it records, to decide a person's eligibility for housing, credit, insurance, employment, education or a government benefit, or to treat people differently on the basis of a protected characteristic. This is our own position and it is also a condition Meta places on any business messaging through WhatsApp, so it applies to you whether or not you have connected a number — and breaching it risks your WhatsApp access as well as your account here.

You must not sell, license or otherwise pass on the information Ash handles for you to data brokers or advertising networks.

Intellectual property.

Ash, its software, and the hiash.ai website remain ours. Using the service does not transfer any of it to you. Your business name and content remain yours; you allow us to use them only as far as is necessary to provide the service.

Disclaimers and limits.

Ash is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We are not liable for indirect, incidental or consequential loss, or for lost profits, lost business or lost data. Our total liability in any twelve-month period is limited to the fees you paid us in that period.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

You agree to indemnify us against claims arising from your use of Ash in breach of these terms — most obviously a claim by one of your clients about a call you did not tell them was being recorded.

Ending the agreement.

You may cancel at any time — in the billing portal if you subscribed through your account, or by telling us. Cancelling takes effect at the end of the period you have already paid for rather than immediately: the service and that period's allowance run to the boundary, and nothing further is charged after it. Subscription fees already paid for the current period are not refunded unless we agree otherwise. We may end the agreement on reasonable notice, or immediately where these terms are breached.

On termination we disconnect Ash from your accounts. What it has already written into your calendar and CRM stays there, because those are yours.

Changes to these terms.

We may update these terms. If a change materially affects you we will tell you before it takes effect, and continuing to use Ash afterwards means accepting it. The date at the top of this page shows when it last changed.

Governing law.

These terms are governed by the laws of British Columbia, Canada and the federal laws of Canada that apply there, and the courts of British Columbia, Canada have exclusive jurisdiction.
